1. Agreement and eligibility
These Terms are an agreement between you and Dyad Tech, Inc., 6329 Bancroft Way, San Jose, CA 95129, United States. OpenGain is a product of Dyad Tech. By creating an account or using the hosted service, you agree to these Terms and acknowledge our Privacy Policy.
You must be at least 18. If you use OpenGain for an organization, you represent that you can bind it to these Terms. Nothing in these Terms limits consumer rights that cannot lawfully be waived.
2. Accounts and workspaces
You must provide accurate account information, keep credentials and API keys secure, and promptly report suspected compromise. Workspace owners and administrators control membership, integrations, sharing, and billing. You are responsible for activity authorized through your account, keys, MCP grants, and workspaces.
3. Your content and permissions
You retain ownership of content you submit. You grant Dyad Tech a worldwide, limited, non-exclusive license to host, copy, process, transmit, and display that content only as needed to provide, secure, support, and improve OpenGain as described in the Privacy Policy.
You represent that you have the right to submit the content, analyze the identified public webpages, and connect any Search Console property or other private data source. You must not use OpenGain to access private systems or data without authorization.
4. Acceptable use
You may not use OpenGain to break the law; infringe rights; evade access controls or robots restrictions; obtain credentials or private data; distribute malware; overload or interfere with the service or evidence providers; conduct abusive automated crawling; misrepresent or manipulate reports; facilitate deceptive spam; probe another customer's workspace; or circumvent usage, credit, or security controls.
We may rate-limit, suspend, or terminate access when reasonably necessary to protect users, providers, Dyad Tech, or the service.
5. Credits, payment, and refunds
OpenGain sells one-time prepaid credit packs and does not create a subscription. Prices and included credits are shown before purchase. Purchased and promotional credits expire one year after grant and have no cash value except where law requires otherwise.
You may request a refund within 14 days of purchase by emailing support@dyad.sh, provided none of the credits in that pack have been used. Refunds, disputes, or chargebacks may reverse associated credits. Mandatory refund and cancellation rights under applicable law remain available.
Stripe processes payments under its own terms. We may change future prices or credit costs, but changes do not alter completed purchases or an analysis after its tariff has been reserved.
6. Reports, AI, and SEO results
OpenGain uses third-party search data, webpage retrieval, connected data, automated validation, and AI-generated synthesis. Results may be incomplete, delayed, or incorrect. Search engines and third parties may change their systems at any time.
OpenGain provides research and informational output, not legal, financial, or professional advice. We do not guarantee rankings, traffic, citations, revenue, indexation, business outcomes, or that every recommendation is appropriate for your site. You are responsible for reviewing outputs before acting on them.
7. Third-party services and clients
OpenGain depends on third-party services and may interoperate with Codex, Claude Code, ChatGPT, Google, Stripe, and other tools. Their terms govern your relationship with them. Dyad Tech does not control and is not responsible for third-party products, changes, or availability. OpenGain is independent from and not endorsed by OpenAI, Anthropic, Google, or other providers.
8. Intellectual property and open source
Dyad Tech and its licensors own OpenGain's hosted service, brand, designs, software, and documentation, excluding your content and third-party materials. These Terms do not grant rights to use OpenGain trademarks or copy the hosted service.
Open-source plugin code is governed by the license included in its public repository. Connecting that plugin to the hosted OpenGain MCP service remains subject to these Terms.
9. Service changes and termination
We may modify, discontinue, or limit features and may perform maintenance. We will try to provide reasonable notice of material changes when practical. You may stop using OpenGain at any time and may request account deletion through account privacy controls or support.
We may suspend or terminate access for breach, risk, nonpayment, legal requirements, or harm to the service. Sections that by their nature should survive termination—including ownership, disclaimers, liability limitations, and accrued payment obligations—will survive.
10. Disclaimers
To the maximum extent permitted by law, OpenGain is provided “as is” and “as available.” Dyad Tech disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing. We do not warrant uninterrupted, secure, or error-free operation or preservation of every item of data.
11. Limitation of liability
To the maximum extent permitted by law, Dyad Tech and its affiliates, officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, traffic, rankings, goodwill, data, or business opportunities.
Dyad Tech's aggregate liability arising from or related to OpenGain will not exceed the fees you paid to Dyad Tech for OpenGain during the 12 months before the event giving rise to the claim. These limitations do not apply where prohibited or to liability that cannot legally be limited.
12. Changes and contact
We may update these Terms. We will update the effective date and notify account holders by email before material changes take effect when appropriate. Continued use after the effective date constitutes acceptance where permitted by law.
